Article 1 General Provisions and Region of Use
These Terms of Service (hereinafter referred to as "these Terms") set forth the terms and conditions agreed upon between the customer and Zetta Linx Inc (hereinafter referred to as the "Company") regarding the license for the Suite Function Pack (hereinafter referred to as the "Service").
The customer shall be deemed to have agreed to these Terms at the point they begin using the Service.
The Service is licensed to the customer by the Company in accordance with the conditions of these Terms, and intellectual property rights such as copyrights for the Service shall not be transferred to the customer.
The Service shall only be available for use within Japan, and the customer shall not use the Service from outside Japan or allow a third party outside Japan to use it.
Article 2 Usage Fees and Support
In principle, the Service is provided free of charge.
In the case of free usage, the Company bears no obligation to provide individual support or respond to inquiries regarding the Service.
Article 3 Prohibited Actions
The customer shall not engage in any of the following acts when using the Service:
Attempting to analyze the programs constituting the Service (add-on source codes, scripts, etc.) through reverse engineering, decompilation, disassembly, or similar actions.
Duplication, modification, redistribution, or similar acts involving the Service.
Acts that infringe upon the intellectual property rights or other rights of the Company or third parties.
Any other acts deemed inappropriate by the Company.
Article 4 Disclaimer and Non-Warranty
The Company does not warrant, either explicitly or implicitly, that the Service is free from factual or legal defects (including program errors, bugs, or defects).
The Company shall bear no liability or obligation for damages, directly or indirectly, arising from calculation errors, data corruption, or any other losses incurred by the customer or third parties due to bugs or defects in the Service.
Notwithstanding the provisions of the preceding two paragraphs, only in cases where the customer enters into a separate "Paid Support Agreement" with the Company and pays the prescribed support fee, the Company shall warrant the operation and defect response for the Service within the scope of said agreement. In such cases, the scope of warranty and liability for damages shall follow the provisions of the relevant Paid Support Agreement.
Article 5 Changes to the Terms
The Company may modify these Terms at any time without prior notice to the user whenever deemed necessary.
Article 6 Governing Law and Jurisdiction
Japanese law shall be the governing law for the interpretation of these Terms, and in the event of any dispute arising in connection with the Service, the Tokyo District Court shall be the exclusive court of first instance with agreed jurisdiction.
